Terms of Service

1. Acceptance of Terms

By accessing, downloading, installing, or using any Specs software, packages, or services (“Services”) provided by Directed Edges (“Company,” “we,” “us,” or “our”), you (“User,” “you,” or “your”) agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, do not use the Services.

If you are using the Services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Description of Services

Specs is a design-system schema and tooling ecosystem. The Services include:

  • @directededges/specs-schema — Shared TypeScript types and JSON schema definitions (licensed under CC BY 4.0)
  • @directededges/specs-cli — A command-line interface and MCP server for design system operations (licensed under MIT)
  • Related documentation, updates, and support provided through official channels

3. Service Tiers

3.1 Free Tier

The Free Tier provides access to core functionality of the Services at no cost. Free Tier features may be modified, reduced, or discontinued at our discretion with reasonable notice.

3.2 Paid Tiers

Paid subscription tiers (“Pro,” “Partner,” or other tiers as offered) provide access to additional features, enhanced capabilities, and priority support. Specific features and pricing for each paid tier are described on our website or within the Services at the time of purchase.

4. Accounts and License Keys

4.1 Registration

Certain features of the Services may require you to register for an account or obtain a license key. You agree to provide accurate, current, and complete information and to keep your account credentials and license keys confidential.

4.2 License Key Usage

License keys are issued to you for your use only and may not be shared, transferred, sold, or redistributed. Each license key is bound to the tier and scope specified at issuance. We reserve the right to revoke license keys that are used in violation of these Terms.

4.3 Account Security

You are responsible for all activity under your account. Notify us immediately of any unauthorized use.

5. Payment and Billing

5.1 Fees

Paid tier fees are charged on a subscription basis (monthly or annually, as selected). All fees are stated in U.S. dollars unless otherwise indicated.

5.2 Payment

Payment is due at the start of each billing cycle. We may use third-party payment processors and do not store your complete payment information.

5.3 Price Changes

We may change pricing with at least 30 days’ notice before your next billing cycle. Continued use after a price change takes effect constitutes acceptance of the new price.

5.4 No Refunds

All purchases are final. No refunds are available once a subscription fee has been charged.

6. Open-Source Licensing

Portions of the Services are distributed under open-source licenses:

  • specs-schema: Creative Commons Attribution 4.0 International (CC BY 4.0)
  • specs-cli: MIT License

These Terms govern your use of the Services as a whole, including hosted features, license-key-gated functionality, and support. Where these Terms conflict with an applicable open-source license for a specific package, the open-source license governs for that package’s source code.

7. Acceptable Use

You agree not to:

  • Reverse-engineer, decompile, or disassemble any non-open-source portions of the Services
  • Circumvent or attempt to circumvent license key validation, tier restrictions, or access controls
  • Use the Services for any unlawful purpose or in violation of any applicable laws or regulations
  • Distribute, sublicense, or resell access to paid features without our written consent
  • Introduce malicious code, interfere with the Services’ infrastructure, or attempt to gain unauthorized access to any systems
  • Misrepresent your identity or affiliation when using the Services

8. Intellectual Property

8.1 Ownership

Except for open-source components governed by their respective licenses, all rights, title, and interest in the Services — including trademarks, trade dress, proprietary algorithms, and non-open-source code — remain with Directed Edges.

8.2 User Content

You retain ownership of any content you create using the Services. By using the Services, you grant us a limited license to process your content solely to provide the Services to you.

8.3 Feedback

Any feedback, suggestions, or ideas you voluntarily provide about the Services may be used by us without obligation to you.

9. Data Processing and Privacy

9.1 Local Processing

All data processing performed by the Services occurs locally on your machine. Directed Edges does not collect, transmit, or store your design system data, files, or output on its servers.

9.2 License Key Validation

The sole exception to local processing is license key validation. When the Services verify your license key, a request is made to our servers containing only the license key and basic request metadata. No design data or user content is transmitted during this process.

9.3 Privacy Policy

Any additional collection and use of personal data is described in our Privacy Policy. By using the Services, you acknowledge that you have read and understood the Privacy Policy.

10. Disclaimer of Warranties

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DIRECTED EDGES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES, REGARDLESS OF THE THEORY OF LIABILITY.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATED TO THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify, defend, and hold harmless Directed Edges and its officers, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys’ fees) arising from your use of the Services or violation of these Terms.

13. Term and Termination

13.1 Term

These Terms are effective from the date you first use the Services and remain in effect until terminated.

13.2 Termination by You

You may stop using the Services and cancel your subscription at any time. Cancellation takes effect at the end of your current billing cycle.

13.3 Termination by Us

We may suspend or terminate your access if you violate these Terms, fail to pay applicable fees, or if we discontinue the Services. We will provide reasonable notice when possible.

13.4 Effect of Termination

Upon termination, your license keys will be deactivated and access to paid features will cease. Sections that by their nature should survive termination (including Sections 8, 10, 11, 12, and 15) will survive.

14. Modifications to Terms

We may update these Terms from time to time. Material changes will be communicated via the repository, our website, or email. Continued use of the Services after changes take effect constitutes acceptance. If you do not agree with updated Terms, you must stop using the Services.

15. Governing Law and Disputes

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law principles. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Delaware, and you consent to the jurisdiction of those courts.

16. General

  • Entire Agreement. These Terms, together with the Privacy Policy and any applicable order forms, constitute the entire agreement between you and Directed Edges regarding the Services.
  • Severability. If any provision is found unenforceable, the remaining provisions remain in full effect.
  • Waiver. Our failure to enforce any right or provision does not constitute a waiver of that right.
  • Assignment. You may not assign these Terms without our consent. We may assign our rights and obligations without restriction.
